Types of transaction support
Transaction support may apply to various categories of deals, including:

  • Purchase and sale of real estate or movable property;

  • Provision of services (medical, consulting, etc.);

  • Transactions related to construction works, logistics and delivery, or transfer of assets into trust management;

  • Gratuitous transfer of property rights (gifts).

Key stages of transaction support

  • Document preparation and review. The lawyer reviews the counterparty’s documentation and assesses its compliance with applicable law.

  • Counterparty due diligence and legality assessment. This includes verification of incorporation documents, assessment of the counterparty’s authority to dispose of assets, and legal capacity.

  • Drafting and finalization of contracts and related agreements. If, during the transaction process, it becomes evident that certain terms are missing or not agreed upon by the parties, the lawyer amends the draft agreement and prepares a protocol of disagreements where necessary.

  • Claims handling and post-transaction legal protection. In cases where the counterparty fails to perform contractual obligations or is found not to have valid authority over the assets, the lawyer ensures protection of the client’s rights through pre-trial dispute resolution and, where required, court proceedings.
